Commercial Code Amendment

The amendment affects two important parts of Czech commercial law: assessment of non-financial deposits, when increasing the basical deposit, and allowance of so called financial assistance.

New Act on system of payments, in effect from November 1st, 2009

Besides already regulated subjects with banking or exchange license, the new Act introduces regulation to all the other subjects providing payment services. Among the subjects are for example subjects providing so called mobile payments for services provided by different persons than the provider (for example cinema tickets, public transport fare...).

Execution Code Amendment

On November 1st 2009 comes to effect Act no. 281/2009 Coll., which amends the Execution Code. According to the new § 35, par. 2 of the Execution Code, the execution process is initiated by a proposal of initiation of execution directly to the executor. Previously, the proposal of initiation of execution had to be agreed by court.

new Criminal Code

On January 1st 2009 comes to effect Act no. 40/2009 Coll., Criminal Code, which substitutes the old criminal code. New Criminal Code sets up an entirely new understanding of the term crime. While the former understanding was based on the formal – material principle, the new Criminal Code is based on only the formal understanding.

Senate debates Trade Act Amendment

The intent of the Trade Act Amendment is to simplify running business upon a trade license mainly for beginning businessmen. As to the supposed Amendment, people who are about to run their business won’t soon need different trade licenses for each of their notifiable trades, but a single trade license for all notifiable trades will be sufficient. The Amendment also repeals those provisions of Trade Act, which constituted local jurisdictions of trade license offices. Such a change gives businessmen opportunity to choose a trade license office before which they want to act. Dissolving of duty to prove at least 3-year experience in certain branches of trade is another Amendment’s aim. All mentioned changes should speed the procedure and make it largely easier.

Our law firm is a partnership of attorneys at law - natural persons who practice law jointly, use a common name "Klouček Sládek Topinka & Džmuráňová" and have provided legal services in all branches of Czech law with the exception of tax consultancy since 1991.

We focus predominantly on providing full-range legal services to companies and private entrepreneurs; therefore the individual members of our law firm specialize to a certain extent and if required by the client's needs, services are provided by two or more members of the firm. We are also of the opinion that well-founded knowledge and experience from practice in other fields of law are vital for a proper and consistent application of law to a given problem. That is why we concentrate on non-commercial issues as well.
